Terms of Service
Clear terms for the things we make possible.
Effective date: 2026-10-13 · Version: 2026-10-13
These Terms of Service ("Terms") govern your access to and use of the OpenSEP website at opensep.com, its application programming interfaces, and related services (together, the "Service").
The Service is operated by OpenSEP, a sole proprietorship in the Republic of Korea ("OpenSEP", "we", "us"). Contact details are in Section 15.
1. Acceptance
By creating an account or using the Service you agree to these Terms and to the Privacy Policy. When you create an account we ask you to confirm this explicitly and we keep a record of that confirmation, including the version you accepted and when.
If you do not agree, do not use the Service.
2. What the Service does
OpenSEP provides cloud-based audio processing: separating a recording into stems (for example vocals and instrumental, or dialogue and music/effects), transcription and related tools. Processing runs on servers we operate or rent; the result is made available to you for download for a limited time (Section 6).
The Service is provided as-is. Separation and transcription are automated, statistical processes: results vary with the source material and are not guaranteed to be accurate, complete, or fit for a particular purpose.
3. Accounts
You must be at least 14 years old to create an account. You are responsible for keeping your credentials confidential and for everything done under your account. Tell us promptly at the contact address in Section 14 if you believe your account has been used without your permission.
One person may hold one account. Accounts created to evade limits, quotas, or a suspension may be closed without notice.
4. Plans and payment
What a plan is. Access to the Service is sold as a monthly subscription, not as a quantity of processing. A plan is defined by three published limits: the maximum length of a single audio file, the maximum size of a single upload, and the priority your jobs are given in the processing queue. The current values for each plan are published on the Service and are read from the Service itself, not from this document.
Free plan. Every account starts on the free plan, at no charge. Free jobs are given the lowest queue priority and are additionally paced: they are started one at a time and with a short interval between them, so that free use cannot occupy all available processing capacity. We may change the free plan's limits, or withdraw it, at any time.
Paid plans. Paid plans are subscriptions billed in advance for each billing period (monthly unless stated otherwise) and renew automatically until cancelled. A paid plan raises the per-file and per-upload limits and gives your jobs a higher queue priority; the highest plan is served first. There is no quantity of processing to buy, spend, or run out of, and nothing carries over between periods because nothing accumulates.
Introductory price. A plan may be offered at an introductory price. Where it is, the introductory price applies to the first billing period of a new subscription only; the subscription then renews at the standard price published for the plan. Both prices are shown before you pay. The introductory price is available once per account and may be withdrawn at any time for new subscriptions.
Payment processing. Payments are processed by our merchant of record, Polar Software Inc. ("Polar"). When you buy a plan, your purchase contract for that plan is with Polar, which resells it to you on our behalf; Polar's terms apply to that purchase, and Polar issues the invoice or receipt. Polar handles payment methods, taxes and currency conversion. Where these Terms and Polar's terms conflict about a purchase, Polar's terms govern the purchase and these Terms govern the Service.
Changes to prices. We may change plan prices and plan limits. A change to a plan you are subscribed to takes effect at the start of your next billing period, and we will notify you by e-mail before it does. You may cancel before the change takes effect.
Cancellation. You may cancel a paid plan at any time from your Plan page ("Cancel subscription") or through Polar's customer portal ("manage billing" on the same page). Cancellation takes effect at the end of the current billing period; you keep the plan's limits and queue priority until then, and the account returns to the free plan afterwards. We do not provide pro-rated refunds for the remainder of a period except as described in the Refund Policy or where the law requires.
Failed payments. If a renewal payment fails, Polar will retry it. If payment cannot be collected, the plan lapses and the account returns to the free plan.
5. Refunds
Refunds are governed by the Refund Policy, which forms part of these Terms. In summary: because processing consumes computing resources the moment a job runs, a period you have used is not refundable in proportion to that use; a newly purchased period that is largely unused may be refundable within the window described in the Refund Policy; and mandatory consumer rights under the laws of your country of residence are unaffected.
6. Your content
Ownership. You keep all rights in the audio you upload and in the results the Service produces from it. We claim no ownership of either.
Licence to us. To provide the Service you grant us a limited, non-exclusive, worldwide licence to store, copy, transmit and process your uploads and results, and to make them available to you, solely for the purpose of operating the Service. This licence ends when the content is deleted.
Your responsibility. You must have the right to upload and process the content you submit. You must not upload content that infringes someone else's rights, that is unlawful, or that you are not permitted to process. You are responsible for how you use the results.
Retention and deletion. Uploaded files are automatically deleted 1 day after upload. Results are automatically deleted 3 days after they are produced. After that they cannot be recovered. A record of the job (its date, type, the length of audio processed and its outcome) is kept for billing, support and legal purposes; it does not contain your audio or your file names. You may delete a file or a job earlier from your account.
No monitoring. We do not listen to, review, or use your content for any purpose other than operating the Service and handling abuse reports. In particular, we do not use your content to train models.
7. Acceptable use
You must not:
- use the Service for anything unlawful, or to process content you have no right to process;
- attempt to bypass a plan's limits, the queue priorities, or payment (including by creating multiple accounts);
- probe, scan, or attack the Service or its infrastructure, or interfere with other users' use of it;
- resell or provide the Service to third parties as a service of your own without our written agreement;
- use automated tools to access the Service other than through our documented API.
We may suspend or limit an account we reasonably believe is in breach of this Section, and may cancel in-progress jobs of such an account without charge.
8. Intellectual property
The Service, its software, models, design and documentation are owned by us or our licensors and are protected by law. Except for the rights in your content and results (Section 6), nothing in these Terms grants you any rights in the Service.
9. Availability and changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Processing capacity is shared, jobs queue, and the order in which they are taken depends on the queue priority of the plan they were started on. We may modify, suspend or discontinue features at any time; where a change materially reduces what a paid plan provides, Section 4 (Changes to prices) applies.
10. Disclaimer and limitation of liability
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement.
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of data, profits or business, arising from the Service. Our total liability to you for all claims relating to the Service in any twelve-month period is limited to the amount you paid us for the Service in that period.
Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud, or mandatory consumer rights in your country of residence.
11. Termination
You may close your account from the account page once nothing is still running on it: your jobs in progress must have finished, and a paid plan must have ended. A paid plan is cancelled on the Plan page ("Cancel subscription"); it stays active until the end of the period you have already paid for, and the account can be closed after that. Closing the account deletes your files and results; job records are kept as described in Section 6.
We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service, giving reasonable notice where practicable.
12. Governing law
These Terms are governed by the laws of the Republic of Korea. Disputes are subject to the jurisdiction of the courts of the Republic of Korea, without prejudice to mandatory consumer-protection rules and jurisdiction rules of the country in which you reside.
13. Analytics and cookies
We use only the cookie strictly necessary to operate the Service: your session. Your interface preferences are stored with your account. Page views are measured with Cloudflare Web Analytics, which sets no cookies and does not identify you. We do not use advertising networks or tracking pixels. See the Privacy Policy for details.
14. Changes to these Terms
We may update these Terms. We will publish the new version on the Service with its effective date, and for material changes we will notify you by e-mail or in the Service before they take effect. Continued use after the effective date is acceptance of the new Terms; if you do not agree, stop using the Service and cancel a paid plan before that date. Your account can then be closed as Section 11 describes.
